Mitt Romney's service on the board of Marriott International has come under scrutiny in a story published Thursday by 100Reporters, a new investigative reporting group.
Business reporter Lucy Komisar reports:
Mitt Romney, who makes his hands-on business experience a talking point in his campaign for the Republican presidential nomination, was a member of the board of directors and audit committee of a global company when it paid millions of dollars to settle charges of extracting kickbacks that cheated clients.
As a board member, Romney held oversight responsibilities at a time when Marriott was repeatedly accused of obtaining secret rebates that enriched Marriott, at the expense of hotel owners who had contracted with Marriott to run the hotels on their behalf. A series of owners also accused Marriott of falsifying financial statements to owners to conceal the arrangements—charges that Marriott had denied.
Should a director bear responsibility for actions by a company's management?
Here's how Komisar deals with that question, along with background on ties between Romney and the Marriott family:
To be sure, Romney’s was only one voice of ten on the board. What he may have said privately at board meetings or to Marriott executives about the secret rebates and the risk to shareholders and the company is not known. What is known is that during his tenure the company continued a practice that had come under severe reprimand by the courts, and there is no record that Romney ever denounced or criticized the practice.
In addition, the company failed to disclose the mounting disputes to the Securities and Exchange Commission despite the risk they represented to the company’s stock price, and did so only after they culminated in public lawsuits.
With law and business degrees from Harvard University, Romney was well-schooled in understanding the legal and business risks to the company from theses charges. Romney was one of the designated “independent,” members of the Marriott board, which meant that neither he nor his family were to have financial ties to the company. Indeed, no Romney had been an employee of Marriott or the company’s auditor.
On personal and political levels, however, bonds between the Romney and Marriott families run deep. The company founder J. Willard Marriott was close to Romney's father George. Both families are important in the Mormon Church. Romney was named Willard (the W. in his name), in Marriott's honor.
In 1994 the Marriott family gave hundreds of thousands of dollars to Romney's campaign for the U.S. Senate. In 2008, CEO J. Willard "Bill" Marriott, the founder's son, was national finance co-chair of Romney’s campaign for the Republican presidential nomination. Bill Marriott has so far donated $500,000 to Romney’s current campaign through the pro-Romney "super PAC," Restore Our Future, while his brother, Richard Marriott, has given the same.
The Romney campaign did not respond to questions about his service at Marriott.

Mitt Romney's "business experience" mostly means that he shuffled paper buying, selling, and downsizing companies that actually made things in order to make money for himself. He made wide use of off-shore banking to hide profits, etc. So, I guess his claim of being a business leader does have some credibility. However, I do not see in his record where he ever personally started a manufacturing company, personally hired workers, made things, sold things, swept the floor, or met the Friday payroll. That is what I think of first when people talk about business experience.

If Romney were elected, you can see how this would shape up. Instead of increasing taxes on the middle and lower class ol' Mitt will have us paying additional "secret rebates." You know, kinda like Bush and the other Conservatives and Republicans that stand for capitalism but turn around and give billlion$ to banks and Wall Street. Or like when they started an unfunded war based on lies then spent trillions for nation building while lowering taxes and revenues thereby ballooning the debt. A few years back I was traveling cross country and I was having a cup of coffee at a motel, when I struck up a conversation with a Morman gentleman. We talked about the usual thing weather etc.. then with out any prompting he told me about how he got his RV. Basically his son in law was in some financial trouble so he gave him a extremely lowball offer and got it at a really low price. He seemed very proud that he screwed his wife's husband and the father of his grand children.
As he stated "God only gives you what you can handle".
Jessica, I absolutely agree with you. I only hit one level of this issue. Ethnicity, gender, sexual orientation, economic status, and profession should all be represented.
I think I hit on the lawyer thing because it struck me that the law, as far as lawyers are concerned, is not about right and wrong, but about who can argue the best. The person with the best debating skills, and with the best knowledge of how to move about safely in the system usually wins the fight. Lawyers are taught from the beginning how to win the argument, not necessarily how to decide what's right. Debaters in training are not given a choice of which side to debate. They are expected to accept their side of the issue and make the best argument for their case.
This crap is why Washington is gridlocked. Both sides are debating to prove that their take on an issue is the best one, even if it is not necessarily good for anyone but themselves (usually financially).
This is wrong and it should stop.
Vote Out The Lawyers
Big Jeff - totally agree! I have been told I engage in debate a little too much, so I know im guilty of sometimes playing devils advocate just to make a point.
I understand everyone deserves to be represented in court, and im well aware of prosecutors and police rail-roading people just so they can close up a case and save face...but how are we supposed to tell the good ones from the corrupt ones, until it's too late?
I would prefer if we had fewer lawyers in washington, but required every elected official to be able to pass a test that proves they understand their job, and their duties...and also a decent understanding of the constitution they are elected to uphold and honor (I say honor, because the constitution is a living document, as we evolve IT must evolve, not de-volve).
Anywho...I do have some respect for President Obama, he's a constitutional lawyer and after graduating, he skipped the lucrative gigs, to help the people in the chicago community...and to me, that is admirable. I know people who went to work as low-paid lawyers in area's that were desperate for help, but ultimately had to go into corporate law...simply to pay back their student loans and survive. That is just a crying shame...and I know they are absolutely miserable, because of the unethical atmosphere they are having to work in, not really by choice...but by necessity.

All else aside, things would go better for Romney if he would learn to give a straight answers to questions. I paid close attention to him in the debates and he seldom if ever answers the questions as posed, actually the only one who did so with any consistency was Ron Paul. I fear Romney has much to hide, this story is probably just the tip of a colossal iceberg where wheeler-dealers rule and reign.

and then there's my sales rep who's christian reformed, and we are currently working on an audit spreadsheet, which was part of the agreement he made with a client to show proof that we saved them the money we promised.

2. Ron Paul has a consistent history of adding his pork to omnibus bills -- then, knowing the bill will pass, voting against it. Then he can "honestly" say he voted against the pork in the bill.
His son is no different: when campaigning for the Senate, Rant Paul said he would absolutely eliminate "earmarks" -- which is PORK. Then, three minutes after he was elected by those who are duped by hearing what they want to hear, he began talking about how "earmarks" are a good thing.

You, Mac, And Eric reinforce the reason so many despise any religious faction, sadly the problem is not religion in general, it's people. Religion is a belief....in anything, I once had a friend who always believed in the idea that it was time for another beer!
Evolution and Atheism are religions, and like Christianity, Islam, Mormonism, and all the rest you'll find corruption (stinkers) in every camp. The underlying problem is the sin nature of man. The best of men are men at best. As a Bible believer I too have done things I'm ashamed of, that's why we needed a Saviour. I never meant to imply that any religion is more corrupt than any other, or that one person is more likely to succumb to an opportunity to deceive than another. I have been cheated many times over the years by many people, institutions, and even by several state governments, and once by the federal government. My business is quite susceptible to mischief by those I serve, and those who serve for me. Fact, I carry a large amount of liability insurance directly due to this susceptibility. Now, to those Mormon fellows i mentioned. Those individuals cheated openly and quickly without any real attempt at diversion or oral deception. When initial money began flowing toward them they grabbed it, openly attempted to duplicate the process, and were all too proud to tell me it was their right to do so. Seemed to be a fundamental, and almost innate rite of conduct by these people. This was the point I was so poorly attempting to make in my initial post. What blows me away is that Romney clearly does not see anything wrong in all of this, it's just business to him. I don't want a businessman to be president. The presidency of the U.S. is not equivalent to the CEO of a corporation, and the country should not be run like a business. The sole purpose of a business is to make a profit (corp. officers can actually be sued if their actions deviate from that standard), and the purpose of a government is laid out in the preamble to the Constitution:
form a more perfect union;
establish justice;
insure domestic tranquility;
provide for common defence;
promote the general welfare; and
secure the blessings of Liberty to ourselves and our Posterity.
Romney just doesn't show any awareness of the importance of those goals; he walks, talks and thinks Money.

Thats the problem with Mitt, the "executive experience". The point is that this country is not a corp. Most that spend time in a government role, tend to divert from their ethical and moral duty as a representative of the people in lieu of the all mighty dollar, trying to balance budgets. Government is established for the protection of its citizens, not to manipulate them for an alternative agenda. I cannot see Mitt making anything better (except maybe for a small few, the 1%) and that's not what we need nor want.

Perhaps you are missing the distinction between the Executive branch of government and the Legislative branch of government. Both are important, but each requires different skill sets. Attempting to dismiss the fact that he has valuable experience managing government and private sector enterprises simply because you think he could want to help the 1% (even though there is no evidence to support such a claim from his time as Governor) is rather close-minded in my opinion. I fail to see which candidate has more relevant experience that would suggest they would do a better or even good job in the position of President.

Mormons have lots of wives -- including Willard's Great Grandfather. That's why Great Grandpa ran to Mexico as it was illegal in the US and he was going to be persecuted. Romney's family in Mexico, still lives on the compound as poligomy is alive and thriving in the Romney family.

Mormons in business are only honest and fair to other Mormons.. This attitude is rooted in the Mormon church on the premise that all Mormons are required to give 10% of their income to the church and therefore in business if you help another Mormon make more money then the church benefits. If that means stepping on or ripping of a non Mormon so be it..
A friend of mine worked his whole life for one company. Mormons became outside investors in that company and eventually took controlling interest. Once in control made their sons President and CFO. Made the employee stock worthless and than forced out all non Mormons that where in upper management. Some of the non Mormon's stock had been worth up to $500,000 and previously such stock was used as retirement when the people retired. After they changed the bi-laws and made such stock worthless they force out the non Mormons in upper management, some life long employees in their late 50's with an offer of $30,000 in severance pay only if they agreed not to sue or go to work for a completing company. Legal action was not really a option. The outside Mormon investors whom over the years who took control of the company were principal partners in one of Salt Lake City's largest law firms.. By the way the companys operations where not in Utah but in So Cal..
As for the production workers they got the shaft too they had been a union shop which they became non union and wages and benefit where drastically cut. Of course there were not Mormons working in the shop. Shop workers were mostly middle class white and Hispanic. Steadily they became lower class more recent Hispanic immigrants.. In other words. people willing to work for lower wages and not complain... Another hit for the middle class in this country... taken for the advantage of Mormons helping other Mormons become richer and the Church getting more in the way of higher tidings. Mormons helping Mormons at the expense of others. Fair in business?... NOT

Jake--What a sad story. I have to point out though that the LDS Church does not encourage business to be conducted like this. The LDS Church believes that its followers be fair and honest in all dealings. However, as with every other religion, people do not always make the correct choices. People are imperfect.

The article tries to be fair to both sides but to be more accurate based on Romney's business acumen and ties to Mariott, there should be no doubt Romney did not have the hotel owners best interest in his sights.

Unfortunately, yes! They already fired Jon Huntsman, the only candidate with integrity and honesty. Anyone who would vote for any of the remainder is a bafoon. I cannot understand what it is that drives people, you know, natural persons, to vote against their own best interests to support the interests of corporations to the point of giving them equality with natural persons. I'm sorry, but an artificial entity constituted under the laws of a government does not possess any inalienable rights. Only people, natural persons, possess inalienable rights. How about we vote for the the natural persons and democracy versus the legal entities and a corporatocracy.
